1 中国股票市场内幕交易的实证分析★ 史永东 蒋贤锋 （东北财经大学金融学院和金融工程研究中心，大连，116025） 内容摘要：本文以我国股票市场历史上所有发生过内幕交易的股票为样本，分析了我国股 票市场内幕交易的特征，从内幕交易对股票价格的影响、内幕交易者的超常收益 （非法所得）、 内幕交易对交易过程中信息不对称的影响等几个方面对内幕交易进行了实证分析，并以正确判 别内幕交易为首要目标、兼顾对内幕交易事件的正确判别率为原则，建立了内幕交易的判别体 系。最后，给出了防范内幕交易的政策建议。 关键字：内幕交易；非法所得；信息不对称；判别体系。 JEL 分类：C22，C35，G14，K20。 EmpiricalAnalysisoftheInsiderTradinginChinese StockMarket Abstract:With the samples of stocks which has experienced insider trading in Chinese security market,thisarticle analysisthecurrent characteristicsoftheinsidertrading in Chinese security market. It makes empirical description ofthe insider trading in the follows:the effect of insider trading on the stock price, the abnormal return or disgorgement of insider traders, the impact of insider trading on the information asymmetry in trading.Based on the principle that attaches the first importance to the correct ratio of discriminating the insider trading and also care for the ratio of discriminating the Non-Insider-Trading, we set up a discriminant system.At the last, we develop the policy suggestions against theinsidertrading KeyWords:Insider Trading,Disgorgement,InformationAsymmetry,Discriminant System.
