毕业(设计)论文 题 目外资并购对我国企业的影响及对策研究 学生姓名 张梓萱 专业班级 会计学03 (3+2)?2 所在院系 管理学院 指导教师张丽职称 教授 所在单位 管理学院会计学教研室 教研室主任 杜萍 在全球经济一体化的今天，外资并购正逐渐成为外商对华投资的一种新的趋势。外 资企业频频出手，不断大手笔收购屮国企业的股权，这样，外资企业不仅取得了屮国企 业的控制权，而且还拿到了进入屮国市场的准入证。客观上，外资并购带来了雄厚的资 金、先进的技术和管理经验，同时，外资并购有利于我国国民经济的战略性调整，有利 于提高资源配置效率，有利于改造我国金业治理结构，有利于推动我国资本市场的发展, 有利于催牛新的投资观念，等等。但是，也带来了一些隐患，随着外资并购的深入，容 易造成某些行业的垄断，影响民族经济安全，也可能对国内企业产生挤出效应，还可能 造成国有资产流失，还会加重就业压力。所以，这一课题的研究有其一定的现实意义。 木文以外资并购对我国企业的影响及我国企业应采取的措施为要点进行讨论。首先 简述了外资并购的含义及现状，接着分析了外资并购对我国企业的积极影响，肯定了外 资并购的重要意义，同吋从多个方面深刻剖析了外资并购对我国企业所产生的消极影 响，并据此提出了相应的对策。 关键词：外资并购影响对策 ABSTRACT In the global economic environment, overseas capitafs merge and acquisition (MA) has gradually become the one of new tendencies in foreign capital investing to China. The foreign-funded enterprises get it repeatedly, unceasingly purchasing the shares of the Chinese enterprises. Thus, the foreign-funded enterprises have not only obtained enterprise^ domination, but also caught the admittance entering the Chinese market. Objectively, the overseas capitaPs MA brings in abundant fund, the advanced technology as well as managerial experiences. At the same time, the MA is helpful to strategically regulate the economy in our country, to enhance the efficiency of allocation of resource, to transform the structures in enterprise management in our country, to promote the development of the capital market in our country and to emerge the new investment notion. However, it also brings in some hidden dangers. Since deepening the overseas capitafs MA likely leads to monopoly, it threatens the security of the national economy, produces the squeeze-out effect to the domestic enterprises, results in the outflow of the state asset and aggravates the employment pressure. Therefore, the research of this topic is of practical significance. This article focuses on the influence and the strategies to our country enterprises by the overseas capitaPs MA.
