PAGE 13 摘 要 大数据时代快速发展下，推动我国经济蓬勃发展的同时也给中国互联网企业并购增加了不确定的因素。为了控制企业并购过程中发生的财务风险，本文应用案例分析法和实证探究法对近年来互联网企业并购进行研究。全文以美团收购摩拜事件为例，首先介绍了选题背景、研究目的和意义，搜集有关并购活动涉及的财务风险防控的相关资料，运用归纳法对并购财务风险和控制的文献内容进行归纳总结，对所涉及的相关概念进行阐述并介绍相关理论基础，然后对美团收购摩拜过程中的投资风险、融资风险和经营风险分别进行探究分析，最后，为应对并购中存在的财务风险提出防控措施。本文通过描写美团收购摩拜事件，分析并购过程中产生的财务风险以及应对财务风险的措施，从而为今后互联网企业完成并购行为提供参考，进而推动该行业健康快速发展。 关键词：财务风险；并购；风险防控 ABSTRACT The rapid rise of Internet companies has brought opportunities and challenges to Chinas economy, and it has also added uncertain factors for Chinese Internet companies mergers and acquisitions. In order to effectively reduce and avoid the financial risks that enterprises may face in MA transaction activities, the application case analysis method and empirical inquiry method are used to study Internet MA in recent years.
