摘 要 中国建设银行在公司治理中存在着许多问题，所以对建行的公司治理结构 作深入的分析研究，从而找出适合我国的、有效的解决方案是非常有必要的， 如此才能提高建行在国内和国际同行中的竞争力。此外，对国外商业银行典型 公司治理结构模式的考察，能为我们提供颇具借鉴价值的国际经验。 全文共由三个部分组成，第一部分主要是阐述了商业银行公司治理结构的 理论和比较国外两种典型的模式并从中得到启示；第二部分主要是研究中国建 设银行公司治理结构的现状和存在的问题，首先简述了中国建设银行的概况及 发展，其次再对中外商业银行公司治理结构模式进行比较，最后对中国建设银 行存在的问题进行分析；第三部分主要是针对其存在的问题给出完善中国建设 银行公司治理结构的对策，例如促进股权多元化、加强内部控制建设、建立科 学有效的激励约束机制、健全信息披露制度 、改善外部环境等。 关键词：中国建设银行；公司治理结构；内部人控制；激励约束；股权 Abstract As one of the four largest nationalized banks in china,CCB went through a capital restructuring in September 2004 by a common initiative establishment of stock company made up of Central Huijin Investment Ltd,China Construction Investment,Group ,state Grid,and China Yangtze power Company.On October 27th 2005,it took a stock market listing at Stock Swap of Honk Kong Limited while on September th 25 2007 it appreciated it at Shanghai Stock Swap. There are still questions in the corporate governance of CCB.So as to improve the competitiveness of CCB in the homeland and international counterparts,it is important to make a systematic and in-depth analysis of the corporate governance structure of the CCB to find out the effective and perfect countermeasures suitable for the national conditions of China.This is to improve the international competitiveness of the Construction Bank and to deal with it.The only way for foreign banks to challenge.In addition,the inspection of typical corporate governance structure of foreign commercial banks can provide us with some valuable international experience.
