合同示范条款(完整资料).doc 【最新整理，下载后即可编辑】?或有债务承诺西控公司假设存在潜在债务不影响重组交割的承诺及履行状况〔1〕承诺：西控公司承诺在资产交割日前，假设由于西控公司对外履行债务或担当相关担保责任，导致第三方向本公司主见以相关目的资产进展清偿，本公司将确保以目的资产以外的现金或资产清偿债务；假设由于上述缘由导致西控公司无法完成相关目的资产交割，西控公司承诺将准时以现金置换相关目的资产。〔2〕承诺履行状况：在资产交割日前，不存在第三方向西控公司主见以相相关目的资产进展清偿的情形。?准据法和仲裁条款1.本协议的订立、履行和说明适用中华人民共和国法律。The validity，interpretation and implementation of this Contract shall be governed by the laws of the People’s Republic of China without regard to its rules governing conflict of laws。Any claims, differences or disputes arising out of or in connection with this Agreement shall be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The arbitral awards is final and binding upon both parties.
