Project Special K;In accordance with your instructions as confirmed in our contract dated 22 June 2006 (Appendix 1), we attach our report on Kerry Beverage Limited (“KBL”, the “Company” or the “Target”) and its subsidiary undertakings (together the “Group”). This report has been prepared for the purposes of your proposed acquisition of an interest in the Company by Atlantic Industries Inc. (the “Transaction”). Our principal findings and conclusions are set out in the attached report. Additional selected information is presented in a separate document, “Supplementary Analysis”. Details of the scope and approach to our work are included in Appendix 2. A glossary of terms and abbreviations follows this letter. This is a draft report. The comments in this draft report are subject to amendment or withdrawal: our definitive findings and conclusions will be those set out in the final report. A number of matters remain unresolved because of lack of information and explanations (see summary on pages 12). In a number of areas this would require management to prepare or procure additional information which it has either declined or have had insufficient time to prepare during the course of our work. In particular, we have not been provided with information regarding the remuneration arrangements for senior management including details of amounts paid offshore, we understand that this information will be the subject of a separate exercise to be conducted immediately before closing. Accordingly, the report may not have identified all matters that might be of concern to you.
