WhereasLicensorhastheTechnicalKnow-how,whichdesign,manufacture,installandsellthePanasonicFrequencyconversionsystemproducts;WhereasLicensorhasrightandagreedtotransfertheabove-mentionedtechnicalknow-howtoLicensee;

WhereasLicenseehopestousetotechnicalknow-howofLicensortodesign,manufacture,sellandexportthePanasonicFrequencyconversionsystemproducts;

Theauthorizedrepresentativesofbothparties,throughfriendlynegotiations,haveagreedtoenterintotheContractunderthetermsandconditionsasstipulatedbelow:

Article1Definition

1.1“Licensee”meansChinaGreeCompanyorthelegalrepresentative,agentandinheritortothepropertyoftheCompany.

1.2“Licensor”meansPanasonicCompany,JapanCountryorthelegalrepresentative,agentandinheritortothepropertyoftheCompany.

1.3“TheContractproducts”meansalltheproducts,modelandspecificationsasstipulatedinAnnex1totheContract.

1.4“TheTechnicalDocumentation”meansallthetechnicalindices,drawing,designandotherdocumentsrelatingtothecalculation,operation,maintenanceandinspectionoftheContractProductsasstipulatedinAnnex2totheContract.

1.5“TheContractFactory”meanstheplace,whichLicenseemanufacturestheContractProductsbyusingtheTechnicalDocumentationandknow-howsuppliedbyLicensor.ThatisGreefactory,BeijingCity.

1.6“NetSellingPrice”meanstheremainingamountofinvoicevalueoftheContractProducts,deductedbythechargesforpacking,freight,insurancepremium,commission,commercialdiscount,taxationandotherduesaswellasthevalue
