infavourof

(2) XYZCOMPANY,acompanyincorporatedunderthelawsofthePeople’sRepublicofChinawhoseregisteredofficeisat深圳市XX路XXX大廈A座9層(the“Assignee”)and

(3) MRDEF(XXX),(the“Person”).

WHEREASthePersonisindebtedtotheAssignorintheamountofHK$961,533.29(the“Loan”)andtheAssignoragreestoeffectanassignmentoftheLoantotheAssigneesubjecttoandinaccordancewiththetermshereof.

NOWTHISDEEDWITNESSETHasfollows:

1. ASSIGNMENT

1.1 InconsiderationoftheAssigneeagreeingtorepaytheAssignorpursuanttoClause1.2,theAssignorasbeneficialownerherebyassignstotheAssigneeabsolutelyandtheAssigneeagreestotakeanassignmentofalltheAssignor’sright,titleandinterestintheLoanpresentlydueandowingtotheAssignorbythePerson.

1.2 TheAssigneeherebyagreesthat,subjecttoreceiptfromthePersonofanamountequivalenttotheLoan,theAssigneeshall,atanytimeondemandoftheAssignor,repaytheAssignorinfulltheLoanfreeofanyinterestorthirdpartyencumbranceofwhatevernature.

2. REPRESENTATIONS

TheAssignorherebyrepresentstotheAssigneethattheAssignoristhebeneficialowneroftheLoanandhasfullrightandtitletocollecttheLoanandthatthePersonisindebtedtotheAssignorforthefullamountoftheLoanwhichisrepayableinfullatanytimeondemandfreeofanythirdpartyencumbranceofwhatsoevernature.TheAssignorfurtherrepresentstotheAssigneethattheAssignorhasfullpowerandrighttoassigntheLoanontermshereof.
