摘要

随着我国经济的快速发展，医药行业也在快速发展，股权激励作为一种长效激励约束机制，有助于缓解企业内的利益冲突，从而调动员工的积极性，促进医药企业的发展。但是股权激励在我国引进较晚，还不够完善，所以实施效果不尽人意。本文将桂林三金药业作为研究对象，运用文献研究法、案例研究法和对比分析法等研究方法，对实施股权激励计划展开了研究，发现桂林三金药业实施股权激励之后，企业营业收入增加，净利润增加，偿债能力有所提高，但也发现在其过程中存在解锁条件设置欠佳、激励时间过短、激励程度较弱等问题，针对发现的问题本文提出了规范业绩考核机制、延长激励有限期限、加大股权激励力度等一些相应的建议，希望对该公司及其他药业实施股权激励提供帮助。

ABSTRACT

AlongwiththefastdevelopmentofChineseeconomy,thepharmaceuticalindustryisalsogrowingfast,asalong-termincentiveandrestraintmechanism,equityincentiveishelpfultoalleviatetheconflictofinterestintheenterprise,thusarousestaff’senthusiasmandpromotethedevelopmentofpharmaceuticalenterprises.However,equityincentivewasintroducedlateinourcountryandisnotperfectenough,sotheimplementationeffectisnotsatisfactory.TakingGuilinSanjinPharmaceuticalastheresearchobject,inthispaper,theauthormakesuseofliterature,casestudyandcomparativeanalysistoinvestigatetheimplementationofequityincentivescheme,foundthatGuilinSanjinPharmaceuticalaftertheimplementationoftheequityincentive,thecompany’srevenueincreased,increaseinnetprofit,solvencyhasimproved,however,itisalsofindsthatthereareproblemsintheprocessofsettingunreasonableunlockconditions,tooshortincentivetimeandweakincentivedegree.Inviewoftheproblemsfound,thispaperputsforwardastandardizedperformanceappraisalmechanism,extendthelimitedincentiveperiod,andimprovetheperformanceofthecompany.Somecorrespondingsuggestions,suchasincreasingtheintensityofequityincentive,hopetoprovidehelptothecompanyandotherpharmaceuticalcompaniestoimplementequityincentives.
