ImportContract

ThisImportContractisenteredintoon[insertdate],byandbetween:

Whereas,theBuyerwishestopurchasethefollowinggoodsfromtheSeller:

And,theSellerwishestoselltheGoodstotheBuyeronthefollowingtermsandconditions:

1.Delivery

1.1TheSellershalldelivertheGoodstotheBuyersdesignatedlocationasspecifiedinExhibitAonorbeforetheagreed-upondeliverydate.

1.2TheBuyershallberesponsibleforanyadditionalcostsincurredfordeliveryoutsideoftheagreed-uponlocation.

2.Payment

2.1TheBuyershallmakepaymenttotheSellerintheamountof[inserttotalamount]inthefollowingmanner:

4.QualityAssurance

4.1TheSellerwarrantsthattheGoodsshallbeofmerchantablequalityandfreefromdefectsinmaterialsandworkmanship.

4.2TheSellershallprovidetheBuyerwithallnecessarydocumentation,includingcertificatesofqualityandorigin,toensurecompliancewithallapplicablelawsandregulations.

5.ForceMajeure

5.1Neitherpartyshallbeliableforanyfailureordelayinperformanceunderthis
