Recitals

WHEREAS,theSellerisasupplierofgoodsandservices;

WHEREAS,theBuyerdesirestopurchasecertaingoodsandservicesfromtheSeller;

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:

Article1:GoodsandServices

1.1.Description.TheSellershallsupplytotheBuyerthefollowinggoodsand/orservices(theGoods):

[DescribetheGoodsindetail,includingspecifications,quantities,andanyotherrelevantinformation.]

1.2.Delivery.TheSellershalldelivertheGoodstotheBuyerat[DeliveryLocation]onorbefore[DeliveryDate].

1.3.QualityandCompliance.TheGoodsshallconformtothespecificationsandrequirementssetforthinthisAgreementandshallbefreefromanydefectsinmaterialsandworkmanship.

Article2:PriceandPaymentTerms

2.1.Price.TheBuyershallpaytheSellerthetotalpurchasepricefortheGoods,assetforthintheattachedScheduleA,lessanyapplicablediscountsorcredits.

2.2.PaymentTerms.TheBuyershallmakepaymentfortheGoods[PaymentMethod]within[Number]daysafterthedateoftheinvoiceissuedtheSeller.

Article3:DeliveryandInspection

3.1.Delivery.TheSellershalldelivertheGoodstotheBuyerattheDeliveryLocationonorbeforetheDeliveryDate.

Article4:Warranties

4.1.SellersWarranties.TheSellerwarrantsthattheGoodsshall:

(a)conformtothespecificationsandrequirementssetforthinthisAgreement;

(b)befreefromanydefectsinmaterialsandworkmanship;

(c)befitfortheintendedpurpose;and

4.2.BuyersWarranties.TheBuyerwarrantsthatithastherighttopurchasetheGoodsandtoenterintothisAgreement.

Article5:LimitationofLiability

5.1.SellersLiability.TheSellerstotalliabilityunderthisAgreementshallbelimitedtothereplacementofnonconformingGoodsorthereturnofthepurchaseprice,attheSellersoption,andtheSellershallnotbeliabl
