RECITALS:
WHEREAS,theContractorhasenteredintoacontractwiththeClientdated[DateofOriginalContract](the“OriginalContract”),pursuanttowhichtheContractoragreestoprovidecertainservicestotheClientinaccordancewiththetermsandconditionssetforththerein;
WHEREAS,thepartiesheretodesiretorevisecertaintermsandconditionsoftheOriginalContract,asmoreparticularlysetforthherein;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.REVISIONSTOSCOPEOFSERVICES
1.1TheContractorshallprovidetheClientwiththefollowingrevisedservices(the“RevisedServices”)underthetermsandconditionsoftheOriginalContract:

1.2TheContractoragreestoprovidetheRevisedServicesinaprofessional,timely,andefficientmanner,inaccordancewiththestandardsandrequirementssetforthintheOriginalContract,asrevisedthisAgreement.

2.2TheContractoragreestoadjustthepricingfortheRevisedServicesinaccordancewiththefollowingrevisedrates:

3.REPRESENTATIONSANDWARRANTIES
3.1Eachpartyheretorepresentsandwarrantstotheotherthatithasthefulllegalauthority,power,andcapacitytoenterintothisAgreementandtoperformitsobligationshereunder.
3.2TheContractorrepresentsandwarrantsthatitshallprovidetheRevisedServicesinaccordancewithallapplicablelaws,regulations,andindustrystandards.
