SupplementaryAgreement
ThisSupplementaryAgreement(hereinafterreferredtoastheAgreement)ismadebyandbetween[PartyAName]and[PartyBName]inordertoamendandsupplementthetermsoftheoriginalcontract,[OriginalContractName],enteredintobythetwopartieson[DateofOriginalContract].
1.DefinitionsandInterpretation
AlltermsandphrasesusedinthisAgreementshallhavethesamemeaningsasthosedefinedintheOriginalContract,unlessotherwisedefinedinthisAgreement.IncaseofanyconflictorambiguitybetweenthetermsdefinedinthisAgreementandthosedefinedintheOriginalContract,thetermsdefinedinthisAgreementshallprevail.
2.Purpose
ThepurposeofthisAgreementistomodify,amendorsupplementcertainprovisionsoftheOriginalContracttobetteradapttotheactualneedsofbothpartiesandtoclarifyanyoutstandingissues.

6.LiabilitiesandObligations
6.1BothpartiesshallperformtheirrespectiveobligationsunderthisAgreementingoodfaithandinaccordancewiththetermsoftheOriginalContract.
6.2IfanypartyfailstoperformitsobligationsunderthisAgreement,itshallbeliableforanylossesincurredbytheotherparty.
