ThisQualityAgreement(theAgreement)isenteredintoasofthe_____dayof_____,2024,byandbetween_____(theSupplier)and_____(theCustomer)(collectivelyreferredtoastheParties).
Article1:Purpose
ThepurposeofthisAgreementistosetforththequalitystandardsandrequirementsfortheproducts(theProducts)tobesuppliedbytheSuppliertotheCustomer.ThePartiesagreetoworktogethertoensurethattheProductsmeetthehighestqualitystandardsasmutuallyagreedupon.
Article2:QualityStandards
2.1TheSupplierwarrantsthattheProductsshallconformtothequalitystandardsspecifiedintheattachedScheduleA(theQualityStandards),whichisherebyincorporatedbyreferenceintothisAgreement.
2.2TheCustomershallhavetherighttoinspecttheProductsatanytimetoensurecompliancewiththeQualityStandards.TheSuppliershallprovideallnecessaryaccessandassistancetofacilitatesuchinspections.
Article3:DeliveryandAcceptance
3.1TheSuppliershalldelivertheProductstotheCustomerinaccordancewiththedeliveryschedulespecifiedinthePurchaseOrder(theDeliverySchedule).
3.2TheCustomershallhaveaperiodof_____daysfromthedateofdeliverytoinspecttheProductsandeitheracceptorrejectthem.AcceptanceoftheProductsshallbedeemedtohaveoccurrediftheCustomerhasnotnotifiedtheSupplierofanynon-conformitieswithinthisperiod.
Article4:Non-ConformingProducts
4.1IntheeventthattheCustomeridentifiesanynon-conformingProducts,theCustomershallnotifytheSupplierinwritingwithin_____daysofdiscovery.
4.2TheSuppliershall,atitsownexpense,eitherreplacethenon-conformingProductswithconformingProductsorcorrectthenon-conformitieswithin_____daysofreceivingthenoticefromtheCustomer.

5.1TheSupplierwarrantsthattheProductsshallbefreefromdefectsinmaterialandworkma
