英文合同范本
CONTRACT
ThisContractismadeon[Date]between[PartyAName]and[PartyBName](hereinafterreferredtoasBothParties).
1.PREAMBLE
ThepartiesherebyagreetoenterintothisContractinordertoestablishabusinessrelationshipandensurethattheirrespectiverightsandobligationsareclearlydefined.ThepurposeofthisContractistoestablishthetermsandconditionsunderwhichthepartiesshallperformtheirrespectivedutiesinrelationtothemattersspecifiedbelow.
2.SCOPEOFWORK
PartyBshallprovidetheservicesspecifiedintheattachedserviceagreement,whichshallcoverallareasofworkandtasksassignedbyPartyAtoPartyB,underthetermsandconditionsagreedtointhisContract.Thenatureofservices,location,duration,andanyotherrelatedmattersshallbeclearlystatedintheattachedagreement.
3.CONTRACTPRICEANDPAYMENT
ThetotalcontractpricefortheservicesprovidedbyPartyBshallbeasstatedintheattachedserviceagreement.PartyAshallmakepaymentstoPartyBinaccordancewiththepaymentschedulespecifiedintheagreement.Anychangestothecontractpriceorpaymentscheduleshallbeagreeduponbybothpartiesinwriting.
4.PERIODOFPERFORMANCE
TheperiodofperformanceforthisContractshallbeginon[StartDate]andendon[EndDate].BothpartiesmayagreetoextendorrenewthisContractuponexpiration,ifmutuallybeneficial.
5.WARRANTIESANDGUARANTEES
PartyBguaranteesthattheservicesprovidedshallbeperformedinaprofessionalandworkmanlikemanner,inaccordancewithallapplicablelawsandregulations.PartyBshallalsoguaranteethatanydeliverablesprovidedtoPartyAshallbefreefromanydefectsinmaterialsorworkmanshipforaperiodof[Duration]afterdelivery.
6.CONFIDENTIALITY
Bothpartiesshallmaintaintheconfidentialityofallinformationsharedbetweenthemduringthetermofth
