Introduction:
Thiscontractismadebyandbetween[NameofParty1]and[NameofParty2],hereinafterreferredtoastheParties.ThepurposeofthiscontractistosetforththetermsandconditionsunderwhichthePartieswillengageinabusinesstransactioninvolvingthesaleof[NameofProduct]by[NameofParty1]to[NameofParty2].
1.SaleofProduct:
1.1.[NameofParty1]agreestosellto[NameofParty2]thefollowingproduct:[NameofProduct].Theproductshallbedeliveredto[NameofParty2]attheaddressspecifiedby[NameofParty2].
1.2.Thequantityandpriceoftheproductshallbeasfollows:[QuantityandPrice].Thepaymenttermsshallbe[PaymentTerms].
1.3.[NameofParty2]agreestoaccepttheproductasdescribedabove,andtomakepaymentto[NameofParty1]inaccordancewiththepaymenttermssetforthinthiscontract.
2.DeliveryandAcceptance:
2.1.Theproductshallbedeliveredto[NameofParty2]by[NameofParty1]attheaddressspecifiedby[NameofParty2].Thedeliveryshallbemadewithinareasonabletimeafterthedateofthiscontract.
2.2.[NameofParty2]shallinspecttheproductuponreceipt,andshallnotify[NameofParty1]promptlyifthereareanydiscrepanciesordefectsintheproduct.Otherwise,[NameofParty2]shallbedeemedtohaveacceptedtheproductassatisfactory.
3.Payment:
3.1.Thepaymentfortheproductshallbemadeby[NameofParty2]to[NameofParty1]inaccordancewiththepaymenttermssetforthinthiscontract.Thepaymentshallbemadeinfullwithoutanydeductionsoroffsets.
3.2.Ifthepaymentisnotmadeontime,[NameofParty1]shallhavetherighttochargeinterestontheoverduepaymentattherateof[InterestRate]perannum
