InternationalTradeContract
Thiscontractismadebyandbetween[PartyA],hereinafterreferredtoasPartyA,and[PartyB],hereinafterreferredtoasPartyB,onthetermsandconditionssetoutbelow:
1.ContractingParties:
-PartyA:[NameofPartyA],incorporatedunderthelawsof[CountryofPartyA],withitsregisteredofficeat[AddressofPartyA],anditsprincipalplaceofbusinessat[AddressofPartyA].
-PartyB:[NameofPartyB],incorporatedunderthelawsof[CountryofPartyB],withitsregisteredofficeat[AddressofPartyB],anditsprincipalplaceofbusinessat[AddressofPartyB].
2.ContractObject:
-TheobjectofthiscontractistopurchasebyPartyAfromPartyBtheproductslistedinAnnexA,whicharetobedeliveredtotheaddressesspecifiedinAnnexB.
3.TermsofPayment:
-TheproductsshallbepaidforbyPartyAtoPartyBbywiretransferoffundstothebankaccountspecifiedbyPartyB.Thepaymentshallbemadewithin30daysfromthedateoftheinvoiceissuedbyPartyB.
4.DeliveryTerms:
-TheproductsshallbedeliveredbyPartyBtoPartyAbyairtransporttotheaddressesspecifiedinAnnexB.Thedeliveryshallbemadewithin60daysfromthedateoftheorderconfirmedbybothparties.
-TheriskoflossordamagetotheproductsshallpasstoPartyAupondelivery.
5.ProductWarranty:
-PartyBguaranteesthattheproductsshallbefreefromdefectsinmaterialandworkmanshipforaperiodof12monthsfromthedateofdelivery.Incaseofanydefect,PartyBshall,atitsoption,eitherreplacethedefectiveproductsorrefundthepricepaidbyPartyA.
6.ForceMajeure:
-Ifeitherpartyispreventedfromperformingitsobligationsunderthiscontractduetoforcemajeure,suchpartyshallnotifytheotherpartyimmediatelyandprovidereasonableevidencetosupportitsclaim.Theaffectedparty
