Thisequitytransferagreementismadeandenteredintobyandbetween[转让方公司名称](PartyA)and[受让方公司名称](PartyB)on[签署协议日期],in[签署协议地点].

1.Definitions

1.1EquityInterestsshallmeantheequityinterestsin[公司名称],acompanyincorporatedunderthelawsof[国家名称],whicharebeingtransferredpursuanttothisAgreement.

1.2TransferDateshallmeanthedatespecifiedinArticle3.1belowonwhichthetransferofEquityInterestsshalltakeplace.

1.3ClosingshallmeanthecompletionofthetransferofEquityInterestsontheTransferDate.

2.EquityIntereststobeTransferred

2.1PartyAherebyagreestotransfertoPartyBallofitsEquityInterestsin[公司名称].

2.2TheEquityIntereststobetransferredincludebutarenotlimitedto:

(a)Thesharesofstockin[公司名称]ownedbyPartyA;

(b)Allrightsandobligationsassociatedwithsuchshares,includingbutnotlimitedtodividends,votingrights,andanyotherrightsorobligationsarisingfromtheownershipofsuchshares.

3.TransferDateandClosing

3.3TheclosingofthetransfershalltakeplaceontheTransferDate,atwhichtimePartyBshallpaytoPartyAtheagreed-uponconsiderationfortheEquityInterests,andPartyAshalldelivertoPartyBallrelevantdocumentsandmaterialspertainingtothetransfer.

4.Consideration

4.1InconsiderationforthetransferofEquityInterests,PartyBshallpaytoPartyAanamountof[具体金额]ontheTransferDate,in[货币类型].
