CommissionAgreement

ThisCommissionAgreementismadebetween[CompanyA],acompanyincorporatedunderthelawsof[CountryA],withitsregisteredofficeat[AddressA],and[CompanyB],acompanyincorporatedunderthelawsof[CountryB],withitsregisteredofficeat[AddressB](hereinafterreferredtoasbothparties).

1.DefinitionsandInterpretation

1.1.InthisAgreement,thefollowingtermsshallhavethefollowingmeanings:

*CommissionshallmeanthecommissionspecifiedinSection3hereof.

*WorkingDayshallmeananydayotherthanaSaturday,Sundayorpublicholidayintherelevantjurisdiction.

1.2.Thewordsinclude,includesandincludingshallbedeemedtobefollowedbythephrasewithoutlimitation.

1.3.ThisAgreementshallbeconstruedbyreferencetoitstermsandthecontextinwhichtheyareused,withanyambiguitytoberesolvedinfavorofinterpretationthatismostfavorabletotheintentofbothparties.

2.AppointmentandScopeofAuthority

2.1.CompanyAherebyappointsCompanyBasitsexclusivesalesagentfortheterritoryof[CountryB],toselltheproductsspecifiedinSection3hereof,onthetermsandconditionssetforthinthisAgreement.

2.2.CompanyBshallhavetheauthoritytoenterintocontractsofsalewiththirdpartiesinthenameofCompanyA,andtocollectpaymentsfromsuchthirdpartiesonbehalfofCompanyA.AllsuchcontractsandpaymentsshallbesubjecttothetermsandconditionsofthisAgreement.

2.3.Thetermofthisappointmentshallbeforaperiodof[Term]fromtheEffectiveDate,asdefinedinSection5hereof.

3.ProductsandMarkets

3.1.TheproductstobesoldbyCompanyBunderthisAgreementshallbeasspecifiedintheannexhereto(hereinafterreferredtoastheProducts).

3.2.CompanyBshallselltheProductsinthemarketsspecifiedintheannexhereto(hereinafterreferredtoastheMarkets).
