NON-DISCLOSUREAGREEMENT
ThisNon-DisclosureAgreement(theNDA)isenteredintobyandbetween[PartyA],withitsprincipalplaceofbusinessat[AddressA],and[PartyB],withitsprincipalplaceofbusinessat[AddressB](collectively,theParties).
1.CONFIDENTIALINFORMATION
AsusedinthisNDA,ConfidentialInformationmeansanyandallinformationdisclosedbyeitherPartytotheother,whetherdirectlyorindirectly,inwriting,orally,orbyanyothermeans,thatisdesignatedasconfidentialorproprietary,orthatreasonablyshouldbeunderstoodtobeconfidentialorproprietary.ConfidentialInformationincludes,butisnotlimitedto,technical,financial,customer,supplier,employee,andproductinformation.
2.SCOPEOFNDA
ThisNDAshallapplytoallConfidentialInformationdisclosedbyeitherPartytotheother,whetherdisclosedpriortoorsubsequenttothedateofthisNDA.
3.OBLIGATIONSOFCONFIDENTIALITY
EachPartyagreesthatitshallholdallConfidentialInformationdisclosedtoitbytheotherPartyinstrictconfidenceandshallnotdiscloseoruseanysuchinformationexceptasauthorizedbythedisclosingPartyinwriting.EachPartyshalltakeallreasonableprecautionstoprotecttheconfidentialityofallConfidentialInformation,includingbutnotlimitedtofirewalls,encryption,andsecurenetworks.
4.EXCEPTIONS
TheobligationsofconfidentialitysetforthinthisNDAshallnotapplytoanyinformationthat:(i)isorbecomesgenerallyavailabletothepublicwithoutbreachofthisNDA;(ii)isdisclosedwiththewrittenconsentofthedisclosingParty;(iii)isdisclosedpursuanttoavalidsubpoenaorotherlegalprocess;or(iv)isotherwiserequiredtobedisclosedbyapplicablelaw.
5.RETURNOFCONFIDENTIALINFORMATION
UponthewrittenrequestofthedisclosingParty,eachPartyshallpromptlyreturnordestroyallwrittenmaterialsandothertangibleitem
