Introduction
ThisCommercialContract(hereinafterreferredtoastheContract)ismadebyandbetween[PartyAName],acompanyincorporatedunderthelawsof[PartyACountry],and[PartyBName],acompanyincorporatedunderthelawsof[PartyBCountry],hereinafterreferredtoastheParties.
Recitals
TheParties,desiringtoenterintoabusinessrelationshipforthepurposeofengaginginajointventureinthefieldof[FieldofJointVenture],herebyagreetothefollowingtermsandconditions:
Article1:DefinitionofJointVenture
1.1ThetermJointVentureshallmeantheactivitiescarriedoutbytheParties,eitherjointlyorseparately,inthefieldof[FieldofJointVenture],whichactivitiesshallbesubjecttothetermsandconditionsofthisContract.
Article2:PurposeofJointVenture
2.1ThepurposeoftheJointVentureistoengageinthebusinessof[PurposeofJointVenture],whichshallbeconductedinaccordancewiththelawsandregulationsofthecountriesinwhichthePartiesoperate.
Article3:TermsofJointVenture
3.1ThetermsoftheJointVentureshallbeasfollows:
*ThePartiesshallcontributeequallytothecostsandexpensesassociatedwiththeJointVenture.
*ThePartiesshallshareequallyintheprofitsandlossesgeneratedbytheJointVenture.
*ThedurationoftheJointVentureshallbe[DurationofJointVenture],afterwhichitshallbeterminated.
*ThePartiesmayterminatetheJointVentureatanytimebymutualagreement.
Article4:ActivitiesofJointVenture
4.1TheactivitiesoftheJointVentureshallinclude,butnotbelimitedto,thefollowing:
*Developingandimplementingbusinessplansandstrategies;
*MarketingandpromotingtheproductsandservicesoftheJointVenture;
*Negotiatingandconcludingcontractswiththirdparties;
*Managingandoperatingtheassetsand
