Introduction：
ThisAgreementismadeandenteredintobyandbetweenPartyAandPartyBforthepurposeofprotectingtheconfidentialityofcertaininformationthatmaybedisclosedbyeitherPartytotheotherduringthecourseoftheirbusinessrelationship.ThisAgreementshallbebindingonthePartiesandtheirrespectiverepresentatives,successors,andassigns.
Definitions：
1.ConfidentialInformation：AnyinformationdisclosedbyeitherPartytotheotherduringthecourseoftheirbusinessrelationship，whetherorallyorinwriting，markedasconfidentialornot，whichisnotgenerallyknowntothepublicorwhicheitherPartyisobligatedtokeepconfidential.
2.DisclosingParty：ThePartydisclosingtheConfidentialInformation.
3.ReceivingParty：ThePartyreceivingtheConfidentialInformation.
4.BusinessRelationship：TherelationshipestablishedbetweenthePartiesforthepurposeofengaginginbusinessactivities，including，butnotlimitedto，negotiationofagreements，provisionofservices，andcollaborationonprojects.
ScopeofAgreement：
1.ThisAgreementshallapplytoallConfidentialInformationdisclosedbyeitherPartytotheotherduringthecourseoftheirbusinessrelationship.
2.ThisAgreementshallnotapplytoanyinformationwhichisgenerallyknowntothepublicorwhicheitherPartyisnotobligatedtokeepconfidential.
ResponsibilitiesoftheParties：
1.DisclosingParty：TheDisclosingPartyshallensurethattheConfidentialInformationisdisclosedinamannerwhichisconsistentwiththetermsofthisAgreementandshalltakereasonablestepstoprotecttheconfidentialityofsuchinformation.
Exceptions：
1.TheReceivingPartymaydisclosetheConfidentialInformationtotheextentnecessarytocomplywithanyapplicablelaw，regulation，orcourtorder，providedthattheReceivingPartyshallfirstnotifytheDisclosingParty
