ContractforNon-LitigationRepresentation

Thiscontractismadebetween[ClientName]of[ClientAddress],hereinaftercalledtheClient,and[FirmName]of[FirmAddress],hereinaftercalledtheFirm.

1.ScopeofRepresentation

TheFirmagreestorepresenttheClientinallmattersrelatedto[NatureofRepresentation],excludinganylitigationorlegalproceedingsthatmayarise.

2.DurationofRepresentation

Thetermofthisrepresentationshallcommenceon[CommencementDate]andshallcontinueuntilterminatedinaccordancewiththeprovisionsofthiscontract.

3.RightsandObligationsoftheClient

3.1TheClientshallprovidetheFirmwithallrelevantinformationanddocumentsinatimelymanner.

3.2TheClientshallcooperatewiththeFirmandprovideassistanceasrequestedinconnectionwiththerepresentation.

3.3TheClientshallnotengageinanyconductthatmayprejudicetheinterestsoftheFirmoritsclients.

4.RightsandObligationsoftheFirm

4.1TheFirmshalldiligentlyrepresenttheClientandexercisereasonablecareandskillinprovidingitsservices.

4.2TheFirmshallkeepallconfidentialinformationprovidedbytheClientconfidentialandshallnotdiscloseittoanythirdpartywithouttheClientsconsent.

4.3TheFirmshallpromptlyinformtheClientofanysignificantdevelopmentsorchangesinthematterbeingrepresented.

5.FeesandExpenses

5.1TheClientshallpaytheFirmsfeesfortheservicesprovidedinaccordancewiththeagreed-uponrateandtermsofpayment.

5.2TheClientshallalsoreimbursetheFirmforallreasonableexpensesincurredinconnectionwiththerepresentation,includingtravelexpenses,courtfees,andexpertwitnessfees.

6.TerminationofRepresentation

6.1Eitherpartymayterminatethiscontractbyprovidingwrittennoticetotheotherpartyatanytime.

6.2IftheClientterminatesthecontract,
