SalesContract

ThisSalesContractismadebyandbetweenPartyAandPartyB,wherePartyAiswillingtosellandPartyBiswillingtopurchasetheproductslistedinthiscontract.Inordertoprotecttherightsandinterestsofbothparties,thefollowingtermsandconditionsareagreedupon:

1.ProductsandQuantities

PartyAagreestoselltoPartyBthefollowingproductsatthespecifiedquantities:

*[Product1]:[Quantity1]units

*[Product2]:[Quantity2]units

*[Product3]:[Quantity3]units

2.PricesandTermsofPayment

*Allpricesarein[Currency]andareexclusiveofanytaxesorduties.

*Paymentshallbemadeinfullpriortodeliveryoftheproducts.

*Ifpaymentisnotmadeinfullontime,PartyAshallhavetherighttocancelthecontractandretainanydepositmadebyPartyB.

3.DeliveryTerms

*DeliveryshallbemadetotheaddressspecifiedbyPartyB.

*AllrisksoflossordamagetotheproductsshallpasstoPartyBupondelivery.

*Ifdeliveryisdelayedorcannotbemade,PartyAshallnotifyPartyBimmediatelyandrefundanyamountspaidinadvance.

4.WarrantyandClaims

*PartyAwarrantsthattheproductsarefreefromdefectsinmaterialandworkmanshipandshallreplaceorrepairanydefectiveproductswithinaperiodof[WarrantyPeriod]fromthedateofdelivery.

*PartyBshallinspecttheproductsupondeliveryandnotifyPartyAofanyclaimsfordamageordefectwithin[ClaimsPeriod]fromthedateofdelivery.FailuretonotifyPartyAwithinthisperiodshallconstituteacceptanceoftheproductsasis.

5.ForceMajeure

*Neitherpartyshallbeliableforanyfailuretoperformitsobligationsunderthiscontractifsuchfailureiscausedbyeventsbeyonditsreasonablecontrol,suchaswar,strike,fire,etc.

*Theaffectedpartyshallnotifytheotherpartyassoonaspossibleandtakeallreasonablestepstomitig
