amongPolycom,Inc.,aDelawarecorporation,havingprincipalofficesat4750WillowRd.
PleasantonCalifornia,94588(“Polycom”)andLicenseeasidentifiedinthesignatureblock.
Polycomisinthebusinessofdesigning,manufacturing,branding,marketingandlicensing
hardwareandsoftwarerelatedtothevisualandaudiocommunicationsindustry.
Polycomisinthebusinessoflicensingtothirdpartiescertainsoftwareandtechnology
whichitownsorhastherighttolicense.
Polycomownstechnologyandintellectualpropertyrelatedtocertainaudiocodecs(ITU-
TRecommendationG.722.1,G.722.1AnnexC,andG.719,andreferredtotogetherherein
as“Siren7/Siren14/G.719Technology”).Polycom’stechnologyandintellectualproperty
mayinclude,withoutlimitation,patentsandpatentapplications,s,tradesecrets,
copyrights,software,hardwareandknow-how.
Polycomdesirestolicensethistechnologyforreasonsincluding,withoutlimitation,the
following:toencourageitswidespreaduse;toencourageinteroperabilityofallthe
componentsthatcompriseacommunicationsinfrastructuretoencourageinteroperability
betweenequipmentmadebydifferentvendors;toseekreturnonitsinvestmentinthis
technology;andtoencouragesalesofitsownproducts.
