CommissionAgreement

ThisCommissionAgreement(theAgreement)ismadeandenteredintobyandbetween[Principal’sName](the“Principal”)and[Contractor’sName](the“Contractor”),effectiveasof[EffectiveDate].

PREAMBLE

ThePrincipalandtheContractoragreetoworktogetheronthetermsandconditionssetoutinthisAgreement,whichoutlinesthecompensationarrangementfortheservicesprovidedbytheContractortothePrincipal.

1.DEFINITIONSANDINTERPRETATION

1.1“Commission”referstotheamountofmoneyorotheragreed-uponcompensationpayabletotheContractorforsuccessfullycompletingtasksorachievingspecifiedresultsasoutlinedinthisAgreement.

1.2“Services”refertothetasksandactivitiestobeperformedbytheContractorasoutlinedinthisAgreement.

2.SCOPEOFSERVICES

TheContractorshallprovidethefollowingservicestothePrincipal:[ListofservicestobeprovidedbytheContractor].

3.COMPENSATIONANDPAYMENT

3.1ThePrincipalshallpaytheContractoracommissionascompensationfortheServicesprovided.Thecommissionstructureandpaymentdetailsareasfollows:

(a)[Specificsofcommissionstructure,includingbaseamounts,incrementalamountsforachievingcertainmilestonesortargets,andanyotherconditionsorqualifiers.]

(b)Paymentshallbemadewithin[specifiedtimeframe]afterconfirmationofsuccessfulcompletionoftherelatedServicesorachievementofspecifiedresults.

4.PAYMENTTERMS

4.1AllpaymentsduetotheContractorshallbemadeinaccordancewiththetermssetoutinSection3.

4.2ThePrincipalmayrequirereasonabledocumentationtoverifytheServicesprovidedand/orthecommissionearned.

5.CONFIDENTIALITY

BothpartiesshallmaintainconfidentialityinrelationtothisAgreementandanyinformationdisclosedduringitsperformance,exceptasrequiredbylaworwiththeconsentofbothparties.
