SALECONTRACT

ThisSaleContract(theContract)ismadeandenteredintoasof[Date],byandbetween:

1.Recitals

WHEREAS,Sellerisengagedinthebusinessofmanufacturingandselling[DescriptionofProduct],and

WHEREAS,BuyerdesirestopurchasefromSellerandSellerdesirestoselltoBuyerthe[DescriptionofProduct]assetforthinthisContract.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

2.ProductDescription

2.1TheProducttobesoldunderthisContractshallbe[DescriptionofProduct],hereinafterreferredtoasProduct.

2.2Thespecifications,quality,andstandardsoftheProductshallconformtothespecifications,quality,andstandardsagreeduponbythepartiesinwriting.

3.PurchasePrice

3.1ThetotalpurchasepricefortheProductshallbe[Amount],inclusiveofalltaxes,duties,andothercharges,unlessotherwisespecified.

3.2Thepurchasepriceshallbepaidin[Currency]andshallbedueandpayableupondeliveryoftheProducttoBuyer,unlessotherwiseagreeduponbytheparties.

4.DeliveryandShipment

4.1SellershalldelivertheProducttoBuyerat[DeliveryLocation]onorbefore[DeliveryDate].

4.2TheProductshallbedeemeddeliveredwhenitismadeavailabletoBuyerattheDeliveryLocation.

4.3SellershallprovideBuyerwithapackinglist,deliverynote,andanyotherrelevantdocumentationrequiredforcustomsclearanceanddelivery.

5.InspectionandAcceptance

5.1Upondelivery,BuyershallhavetherighttoinspecttheProducttoverifyitsconformitywiththeter
