AgreementtoTerminate
1.TerminationoftheOriginalContract
-PartyAandPartyBherebymutuallyagreetoterminatetheOriginalContracteffectiveasof[terminationdate].AllrightsandobligationsofthepartiesundertheOriginalContractshallceaseandterminateasofsuchdate,exceptasotherwiseprovidedinthisAgreement.
2.ObligationsAfterTermination
-ReturnofProperty
-Eachpartyshallreturntotheotherpartyanyandallproperty,documents,data,orothermaterialsbelongingtotheotherpartythatareinitspossessionorcontrolasaresultoftheOriginalContract.Thisshallincludebutnotbelimitedtoanysamples,prototypes,blueprints,technicalspecifications,andcustomerlists.
-Confidentiality
-ThepartiesobligationsregardingconfidentialityassetforthintheOriginalContractshallsurvivetheterminationoftheOriginalContract.EachpartyshallcontinuetokeepconfidentialallconfidentialinformationoftheotherpartythatithasobtainedduringthetermoftheOriginalContract.
-Non-CompeteandNon-Solicitation
-IftheOriginalContractcontainednon-competeornon-solicitationclauses,suchclausesshallremaininforceandeffectfortheperiodspecifiedintheOriginalContr
