ThisProtocolAgreement(theAgreement)isenteredintoasof[InsertDate],byandbetween[PartyAsName],acompanyorganizedandexistingunderthelawsof[Country/State],withitsprincipalplaceofbusinesslocatedat[PartyAsAddress](hereinafterreferredtoasPartyA),and[PartyBsName],acompanyorganizedandexistingunderthelawsof[Country/State],withitsprincipalplaceofbusinesslocatedat[PartyBsAddress](hereinafterreferredtoasPartyB).
WHEREAS,PartyAdesirestoengagePartyBtoprovidecertainservicesasdescribedherein;and
WHEREAS,PartyBdesirestoprovidesuchservicestoPartyA,subjecttothetermsandconditionssetforthinthisAgreement;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:
1.Services
1.1PartyBagreestoprovidethefollowingservices(theServices)toPartyA:

1.2PartyBshallperformtheServicesinaprofessionalandworkmanlikemanner,consistentwithindustrystandards,andinaccordancewithallapplicablelaws,regulations,andguidelines.
1.3PartyBshalluseitsbesteffortstocompletetheServiceswithinthetimeframespecifiedbyPartyA,whichis[InsertTimeFrame].
2.Compensation
2.1PartyAagreestocompensatePartyBfortheServicesprovidedunderthisAgreementasfollows:
