CROSSCULTURALCOOPERATIONCONFIDENTIALITYAGREEMENT

ThisConfidentialityAgreement(theAgreement)ismadeandenteredintoasof[Date],andbetweenthefollowingparties:

WHEREAS,PartyAandPartyBintendtoengageinabusinessrelationshipinvolvingthesharingofconfidentialinformation,andbothpartiesdesiretoprotecttheconfidentialityofsuchinformation.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesagreeasfollows:

1.ConfidentialInformation

ForthepurposesofthisAgreement,ConfidentialInformationshallmeananyandallnonpublicinformationdisclosedeitherPartytotheother,eitherdirectlyorindirectly,inwriting,orally,orinspectionoftangibleobjects,thatisdesignatedasconfidentialorthatreasonablyshouldbeunderstoodtobeconfidentialgiventhenatureoftheinformationandthecircumstancesofdisclosure.

2.ConfidentialityObligations

2.1.EachPartyagreestoholdinstrictconfidenceandnottodisclosetoanythirdpartyanyConfidentialInformationoftheotherParty.

2.2.EachPartyagreestousetheConfidentialInformationoftheotherPartyonlyforthepurposeoffulfillingitsobligationsunderthisAgreementandnotforanyotherpurpose.

2.3.EachPartyagreestoprotecttheconfidentialityoftheConfidentialInformationusingthesamedegreeofcarethatitusestoprotectitsownconfidentialinformation,butinnoeventlessthanreasonablecare.

3.ExclusionsfromConfidentialInformation

TheobligationsofconfidentialityunderthisAgreementshallnotapplytoinformationwhich:
