(“Agreement”)isalegalandbindingagreementweenyou,eitheranindividualorentity(“Licensee”)andNXP
SemiconductorsNetherlandsB.V.,acompanyhavingitsregisteredofficeatHighTechCampus60,5656AGEindhoven,the
Netherlands(“NXP”).NXPandLicenseeareoccasionallyreferredtointhisAgreementindividuallyasa“Party”and
collectivelyasthe“Parties”.ThisAgreementgovernstheuseoftheLicensedMaterials(definedbelow).BYLICENSEE
INDICATINGITSACCEPTANCEOFTHISAGREEMENTORBYLICENSEEINSTALLINGORUSINGTHE
LICENSEDMATERIALS,LICENSEEAGREESTOALLOFTHETERMSANDCONDITIONSOFTHISAGREEMENT.
IFYOU(LICENSEE)DONOTAGREETOTHESETERMSANDCONDITIONS,DONOTINSTALLORUSETHE
LICENSEDMATERIALS.
1.Definitions.InadditiontoothertermsdefinedelsewhereinthisAgreement,thefollowingterms,whenthefirstletteris
capitalized,shallhavethemeaningssetforthbelow.
1.1“Affiliate”means:(a)withrespecttoNXP,(i)anyControlledbyNXPSemiconductorsN.V.or
(ii)anyControlledbyanytransfereeofallorsubstantiallyalloftheassetsofNXPSemiconductorsN.V.,
where;provided,anysuchdescribedinclause(i)or(ii)shallbedeemedtobean“Affiliate”onlyforsolong
assuchisControlledbyNXPSemiconductorsN.V.orsuchtransferee,and(b)withrespecttoLicensee,any
corporationorotherlegalentitythatLicenseenoworhereafterControls,isControlledbyorisundercommon
