    June1996,SiddulyenteredintoacontracttosellGreenacretoPurch.Inpertinentpart,the

    contractprovidedforapurchasepriceof$300,000,adownpaymentof$30,000,whichPurch

    paiduponexecutionofthecontract,andaclosingdateofSeptember1,1996.InlateAugust

    1996,PurchadvisedSidthathewashavingdifficultyraisingthebalanceofthefundsforthe

    purchaseandwouldneeduntilOctober9,1996topaythebalanceandclose.Sidrespondedwith

    aletterwhichstatedthathewouldagreetotheextension,butthatifPurchdidnotcloseon

    October9,1996,hewoulddeclarePurchindefaultandwouldretainPurchsdownpayment.

    OnOctober9,1996,Sidappearedatthecefixedfortheclosing,ready,willingandableto

    close.Purchappeared,butannouncedthathecouldnotclosebecauseheneededanadditional

    threedaystocompletehisfinancialarrangements.Sidthereuponrefusedtheadditionalextension,

    declaredPurchindefault,andretainedPurchs$30,000downpayment.
