Ajointstocklimitedcompanymaybeestablishedeitherbysponsor-shiporpublic

shareoffer.

Establishmentbysponsorshipmeansestablishmentofthecompanythrough

subscriptionbythesponsorsforallthesharestobeissuedbythecompany.

Establishmentbypublicshareoffermeansestablishmentofthecompanythrough

subscriptionbysponsorsforpartofthesharestobeissuedbythecompany,and

publicortargetedcementoftheremainingshares.

第七十八条的设立，可以采取发起设立或者募集设立的方式。

发起设立，是指由发起人公司应的全部而设立公司。

募集设立，是指由发起人公司应的一部分，其余向社会公开募集或者向特

定对象募集而设立公司。

（1）Shareholders（发起人要求）

Inordertoestablishajointstocklimitedcompany,thereshallbenotfewerthan

twobutnomorethantwohundredsponsors,halfofwhomshallbedomiciledin.

第七十九条设立，应当有二人以上二百人以下为发起人，其中须有半数以上

的发起人在境内有住所。

（2）Capitalcontribution（对公司资本及发起人出资的要求）

Theregisteredcapitalofajointstocklimitedcompanyestablishedbysponsorship

shallbethetotalamountofsharecapitalsubscribedforbyallthesponsorsand

registeredwiththecompanyregistrationauthority.Theinitialcapital

contributionofallthesponsorsshallnotbesthantwentypercent（20%）of

theregisteredcapital,theremainingofwhichshallbepaidinfullwithintwo（2）

yearsoftheestablishmentofthecompany.Intheeventofaninvestmentcompany,

theremainingpartoftheregisteredcapitalmaybefullypaidwithinfive（5）

yearsoftheestablishmentofthecompany.Priortoafullcontributiontothe

registeredcapital,sponsorsshallnotofferthesharestoothers.

offershallbetheactualtotalamountofsharecapitalthatispaidupandregistered

withthecompanyregist
