PartyAandPartyB(theParties)intendtoformajointventure,anewentitytobeknownas[JointVentureName](theJointVenture),toengageinthebusinessof[BusinessDescription],basedin[Location](theBusiness).ThePartiesbelievethatbycombiningtheirrespectiveresources,expertise,andmarketpresence,theycanachievecommonbusinessobjectivesmoreeffectively.

TheprimaryobjectoftheJointVentureisto[PrimaryObjective],includingbutnotlimitedto[SecondaryObjectives].TheJointVentureshalloperateinaccordancewithallapplicablelawsandregulations.

Term

CapitalContribution

CapitalIncrease

1.ThecapitaloftheJointVenturemaybeincreasedbythedecisionoftheBoardofDirectors.

2.AnycapitalincreaseshallbemadeupontheapprovalofthePartiesinwriting.
