SOFTWAREDEVELOPMENTCOLLABORATIONAGREEMENT

WHEREAS

TheClientseekstodevelopacustomsoftwaresolution(the“Software”)to[brieflydescribepurpose,e.g.,streamlineinternaloperations,enhancecustomerengagement,orsupportbusinessexpansion];

TheDeveloperpossessesthetechnicalexpertise,resources,andexperienceinsoftwaredesign,development,andtestingnecessarytodelivertheSoftware;

Bothparties,actingingoodfaithandbasedonmutualtrust,wishtoformalizetheircollaborationthroughthisAgreementtodefinerights,obligations,andexpectations.

NOW,THEREFORE,inconsiderationofthemutualcovenants,representations,andwarrantiescontainedherein,theClientandtheDeveloper(collectively,the“Parties”)agreeasfollows:

1.DEFINITIONS

1.2“Deliverables”meansallmaterials,products,orservicestheDeveloperisobligatedtoprovidetotheClient,includingbutnotlimitedtorequirementsdocuments,designmockups,sourcecode,testreports,usermanuals,andthefinaldeployedSoftware.

1.3“AcceptanceCriteria”meansthestandardsandbenchmarksagreedbythePartiestodeterminewhetheraDeliverable(includingthefinalSoftware)meetstheClient’srequirements,asdetailedinAppendixA(attachedheretoandincorporatedherein).

1.4“ConfidentialInformation”meansanynon-publicinformationdisclosedbyonePartytotheotherinconnectionwiththisAgreement,includingbusinessplans,technicalspecifications,customerdata,financialrecords,andtradesecrets.

2.PROJECTSCOPEANDDELIVERABLES

2.2DeliverablesTimeline:

a.Phase1(RequirementsDesign):Within[X]weeksoftheEffectiveDate,theDevelopershalldeliveradetailedRequirementsDocumentandDesignMockupsfortheClient’sreviewandapproval.
