RECITALS

WHEREAS,theBuyerdesirestoengagetheSellertodesign,integrate,install,commission,test,andprovidetrainingregardinganIndustrialAutomationSystem(theSystem)fortheBuyersfacility;and

WHEREAS,theSelleriscapableofprovidingtheservicesdescribedabove;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:

1.DefinitionsandInterpretations

InthisAgreement,unlessthecontextotherwiserequires:

1.1SystemmeanstheIndustrialAutomationSystemtobedesigned,integrated,installed,andcommissionedasdescribedinExhibitAattachedhereto(whichExhibitformsanintegralpartofthisAgreement),includingbutnotlimitedtoallhardware,software,documentation,andservicesprovidedbytheSellerunderthisAgreement.

1.2AgreementmeansthisIndustrialAutomationSystemIntegrationAgreement,includingallexhibitsandamendmentstheretowhichmaybeexecutedbytheParties.

1.3PartiesmeanstheBuyerandtheSeller.

1.4SellersDocumentationmeansalldocuments,includingbutnotlimitedtodesigndrawings,schematics,manuals,userguides,andtestreports,createdbytheSellerinconnectionwiththeSystem.

1.5BuyersDocumentationmeansalldocuments,includingbutnotlimitedtospecifications,existingsystemdiagrams,andoperationalprocedures,providedbytheBuyertotheSellerinconnectionwiththeSystem.

1.6ConfidentialInformationmeansanynon-publicinformation,whethertangibleorintangible,disclosedbyaPartytotheotherParty,includingtechnicaldata,bus
