摘  要  随着我国社会经济的发展，行业协会的兴起和发展已成为必然之势，然而事实 上，由于历史和体制等诸多方面的原因，我国行业协会最大的特征是具有“二政府 性”，对政府依赖过大，自主性不强；最突出问题之一即是行业协会的法律地位不明 确，所以明确行业协会的法律地位成为当下一项迫切的任务。本文在对我国行业协 会发展状况进行实际考察和思考的基础上，对行业协会的法律地位进行了界定并对 相关问题予以论证，最后对行业协会的法律地位作出如下界定:行业协会在民事法律 关系中是独立于政府与企业，具有独立民事主体资格的社会团体法人；在行政法律 关系中由于法律法规的授权或章程赋予的公共管理的权力，行业协会处于行政主体 地位，然而相对于政府的管理，行业协会则处于行政相对人之地位。 第一章是从中外行业协会的概念来厘清我国行业协会的概念和特征，并且研究 行业协会在中西方的产生和发展历程以及产生和发展的缘由。 第二章是从公私法的角度和法人的角度来界定我国行业协会法律地位是公私兼 容即在民事法律关系中是具有独立民事主体资格的社会团体法人；在行政法律关系 中一方面服从国家统治权之支配，处于行政相对人之地位；另一方面则在法令赋予 或因章程之规定，处于行政主体之地位；对于构成行业协会之会员，因行使其法律 法规的授权或章程而赋予的公权，所以行业协会处于行政主体地位。 第三章着重论述行业协会作为民事主体、行政主体和行政相对人具有的权利与 义务。 第四、五章，主要分析行业协会在社会生活中的地位、现行法律法规中对行业 协会地位的规定以及与政府、企业之间的法律关系，然后提出完善目前行业协会立 法的意见并且着重批评政府和行业主管部门对行业协会的双重管理体制，在对现状 进行原因分析的基础上，提出完善相关法律、修改目前的《行业协会管理登记条例》 和明确行业协会与政府、企业的法律关系，完善行业协会的法律地位。  关键词:行业协会 法律地位  政府 企业  I Abstract Along with our country social economy development, guilds starting has become inevitably the potential with the development, however in fact, as a result of the history and the system and so on many aspects reasons, the our country guild biggest characteristic is has two governments, relies on oversized to the government, the independency is not strong; One of most prominent questions is the guilds legal status is not clear about. Therefore is clear about the guild the legal status to become immediately an urgent duty. This article in at present develops the condition to our country guild to carry on the actual inspection and in the ponder foundation, has carried on the limits and to the guilds legal status proves to the correlation question.
