基于利益相关者共同治理公司治理模式重构研究毕业论文.doc

摘  要  本文通过对利益相关者共同治理理论探讨的回顾  建立了一个基于利益相关者  的公司治理标准模型 并将其与传统西方治理模式进行了比较分析  本文还对我国  的公司治理特别是国有企业改革问题进行了理论和实证研究 提出了自己的意见和 建议  由于受到各国政治 经济和文化环境的制约以及行业发展水平的限制  公司治  理模式不可能有一个普适的标准 但是随着知识经济的来临和人力资本所有者在公  司地位的提升  利益相关者共同治理已经成为未来公司治理发展的趋势 保护利益  相关者的权益并通过各利益集团的制衡机制实现公司决策的科学性目标 最终保持  公司的盈利和可持续性发展  已经成为各国公司治理实践中的共识  本文据此从控  制权的配置和行使  董事会和经理员工的监督评价  以及激励机制的设计和实施等  三个方面构建了标准的利益相关者共同治理模型  而在我国  随着国有企业改革的不断深入  公司制成为国有企业的主要组织形  式  而公司治理模式也已成为改革的一个热点和难点问题  本文认为  不论是从解  决我国国有企业股权结构问题的角度  还是从弱化国有企业所有者缺位和内部人控  制现象等问题的角度 利益相关者共同治理不失为一项更可行的公司治理结构重构  方案  在此基础上  本文对方正科技集团股份有限公司的高层管理人员和核心骨干  人员的集体出走事件进行了实证分析  进一步支持了文章的观点  关键词  利益相关者  共同治理  公司治理模式  重构  I ABSTRACT Based on review the discuss about the theory of stakeholder co-governance, this paper establishes a standard corporate governance model for the stakeholder, and compares it with the traditional western governance model. This paper even researches the corporate governance on the theory and the demonstration of China, especially of the reform of Chinese State-Owned Enterprises (SOEs) , and gives some advices as the conclusion. As restricted by the environment of the politic, the economics and the culture, and also restricted by the development level of the industry, there is not a governance mechanism that can be exerted effectively in all countries. But with the coming of the knowledge economics and the promoting of the human resource, it is a trend for the stakeholders to participate in the corporate governance. To protect the stakeholder rights in many companies so that their long-term value or persistent development can be realized, the reengineering of the corporate governance becomes more and more popular.
