第十七章 不可抗力 第一节 不可抗力事件的认定与处理 一、不可抗力的概念 不可抗力(Force Majeure)，又称人力不可抗拒，是指买卖合同签订后，不是由于当事人的过失或疏忽而是由于发生了当事人不能预见、人力无法预防、无法克服的意外事故致使合同不能履行或不能如期履行，发生意外事故的一方可以全部或部分免除履行合同的责任或可以延迟履行合同。 二、不可抗力事件的认定 1.不能预见 2.不能避免与克服 3.不可抗力的客观性 三、不可抗力事件的处理 1.不可抗力事件的法律后果 2.不可抗力事件的通知和证明 第二节 不可抗力条款的规定 一、不可抗力条款的规定方法： 1.概括式 If the shipment of the contracted goods is prevented or delayed in whole or in part due to Force Majeure, the Sellers shall not be liable for non-shipment or late shipment of the goods of this contract. However, the Sellers shall notify the Buyers by cable or telex and furnish the latter within…days by registered airmail with a certificate issued by the China Council for the Promotion of International Trade (China Chamber of International Commerce) attesting such event or events. 2.列举式 If the shipment of the contracted goods is prevented or delayed in whole or in part by reason of war, earthquake, flood, fire, storm, heavy snow, the Sellers shall not be liable for non-shipment or late shipment of the goods of this contract.
