浅论法人基本权利的保护.doc

内容摘要 随着法人对于经济发展作用的不断增强，人们对于法人的认识也不断丰富。 德国基本法破天荒似的以立法形式将法人作为基本权利的主体予以确定，此后对 于法人基本权利问题便成为宪法学界的争议之一。我国当前对于法人基本权利的 相关问题讨论较少，缺乏系统的研究。笔者从基本权利及法人本质的相关理论学 说出发，分析法人成为基本权利保护对象的可能性；又以德国为中心对各国和地 区关于法人基本权利相关理论进行理清和总结，拟解决法人取得基本权利主体资 格的理论基础，进而总结出法人基本权利内容范围；最后回归我国宪法文本和现 实中相关事例对我国构建法人基本权利保护制度提出建议。 本文共分为四部分： 第一部分：相关概念的界定。首先，对宪法基本权利概念进行界定，明确研 究的对象、范围；然后对法人本质相关学说进行介绍，为下文关于法人基本权利 保障的正当性、基础理论做铺垫。 第二部分：法人基本权利主体地位之讨论。首先参考德国、美国和日本的相 关经验，又以德国的“渗透理论”和“制约服从关系说”为讨论重点，寻找法人 取得基本权利主体资格的理论基础；而后分析不同类型法人基本权利主体地位， 分别以公法人、私法人、外国法人以及公私合营混合事业法人进行相关问题论述。 第三部分：法人基本权利的内容。采用列举的方法，对法人基本权利内容中 较为重要的权利进行介绍。 第四部分：我国法人基本权利保障制度的现状与完善建议。在分析我国宪法 文本规范和现实事例的基础上，提出构建法人基本权利保障制度的建议。 关键词：法人；基本权利；主体 1 Abstract With the continuous development of the economy, legal person plays a more and more important role in our society; people are enriching the knowledge of the legal person at the same time. The German Basic Law havs determined legal person as the main form of fundamental rights for the first time, then the corporate fundamental rights issue has became one of the controversial constitutional community. Issues related to the basic rights of the legal person of our current discussion is less，The author base on theory of the basic rights and the essence of the legal person to analyze the possibility of legal person become the fundamental rights protection object; and sort out and summarize the related theory and experience to solve the legal theoretical basis of legal person becomes the subject of fundamental rights, and then sums up its basic legal right content scope; Finally, according to Chinas constitution and the reality of the related cases to put forward some suggestions to construct the system of our legal person protection.
