内容 摘 要 在近几十年的公司发展中，一方面公司股份日益公众化和社会化，另一方面 控股股东不断借助于新的机制和形式强化或滥用大股东权力。在此背景下，完善 或创新保护小股东权益的有关法律机制就成为世界各国公司法修改和变革的焦 点。虽然在世界范围内很早就出现了股东大会弱化的趋势，但由于股东行使权利 的主要载体仍然是股东大会，因此各国对小股东权利的保护，在相当程度上是通 过强化小股东对股东大会召集、召开、决议等的影响力，并同时削弱多数股东的 控制权而进行的。我国的情况是控股股东滥用控制权侵害小股东权益，因此小股 东权益保护从增强小股东权利和建立专门保护制度两方面着手。 本文第一章探讨了小股东权益保护的理论基础。现代法律从注重形式正义转 向注重实质正义，禁止权利滥用和侧重保护弱势群体。反映在公司法上，股东平 等原则得以确立。作为其贯彻，控制股东对小股东应当承担诚信义务。 第二章分析了我国小股东权益保护的现状，并对原因进行了简单的分析。 第三章至第五章在借鉴国外立法经验的基础上，对我国小股东权益保护的制 度创新提出了诸多建议。首先是针对我国公司法的缺陷，确立和完善小股东的基 本股东权利。其次是对小股东权益受到侵害的救济，即诉讼权利的完善。最后是 针对小股东权益保护的特殊性，建议制定小股东权益保护的专门法律，建立小股 东协会和证券投资者赔偿基金。 关键词: 小股东 小股东权益保护 Abstract Intherecentdozensofyearsinthedevelopmentofcorporationsystem,the sharesbecomemoreandmorepublicizedandsocialized,meanwhilethecontrolling shareholderscontinuouslyintensifyorabusetheirpowersbynewmechanismand form.Underthissituation,improvingorinnovatingtheprotectionmechanismfor rightsandinterestsofminorityshareholdersbecomesthefocusoftheamendments andinnovationsofthecorporationlawsandregulationsthroughouttheworld.Though theweakentendencyofshareholdersmeetingthroughouttheworldappeared,the maincarrierbywhichtheshareholdersexerciseremainsshareholdersmeeting.Hence everystateprotectstheinterestsofminorityshareholdersbystrengtheningtheeffects ofminorityshareholdersonconvening,presiding,makingtheresolutionsandetc.of shareholdersmeeting,andweakeningthecontrollingrightsofmajorityshareholders. InChina,majorityshareholdersabusecontrollingrightstoinvadetherightsand interestsofminorityshareholders,sotheprotectiononminorityshareholdersshallbe dividedintotwoparts-tostrengthentherightsandinterestsofminorityshareholders andtosetupspecialprotectionmechanism.
