外资非正常撤离论文：金融危机背景下外资非正常撤离中国法律问题研究 【中文摘要】近年来,随着全球性经济危机的大规模爆发,使得在我国原本只是少量出现的外资非正常撤离现象短时间内呈现出激增之势,这种短时间内出现的大量外资非正常撤离导致我国许多地区,尤其是以外贸型经济为主要支柱的沿海经济开发区面临巨大的风险挑战,并给当地社会造成了极其不稳定的状态。同时,当地的法院在受理此类案件时由于缺乏相应法律规范的指导,加之案件数量过于集中,也产生了许多亟待解决的问题。目前,国内对于外资非正常撤离问题还没有专门的法律法规以及司法解释来加以规范,只有2008年11月19日由商务部、外交部、公安部和司法部联合出台的《外资非正常撤离中国相关利益方跨国追究与诉讼工作指引》作出了少量规定,以解燃眉之需。而学界多数学者则是以该《指引》为依据,结合实际案件,首先分析外资非正常撤离的主要概念,给这一现象一个明确的学术定义；进而分析这一现象的主要特征或表现形式；再者研究该现象产生的原因,外国投资者所应承担的法律责任等等；最终提出相应的解决办法。但笔者认为,上述研究对于外资非正常撤离的成因剖析深度较浅,所研究的解决方案也过于笼统,难以迅速有效地解决眼下所面临的问题。故笔者希望通过本文,对外资非正常撤离的概念重新加以界定,分析研究其主要表现形式和法律性质；以形式最为复杂跨国公司为主要对象深入研究这一问题的表现形式和该种形式下的责任承担方式；探讨外资非正常撤离所应承担的法律责任；再着重研究其中最为复杂的跨国破产形式下的追责问题；接下来通过分析国内、国外现有法律规定,找寻现有制度上的缺陷和形成这一问题的制度原因；最后,通过以上内容的研究,提出针对外资非正常撤离的有效解决办法,既包括对于国内外资监管及外资立法修改完善的建议,也包括对于国际合作共同应对此类问题的构想。此外,笔者希望为能够达成上述国际合作的提供国际法上的理论依据。 【英文摘要】In recent years, with the massive global economic crisis broke out, makes only a small amount of the original appears the phenomenon of abnormal withdrawal of foreignshort trend showing a surge in such short period of time a large number of abnormal withdrawal of foreign capital led to many of our Areas, particularly in trade-based economy as the main pillar of the coastal economic development zone face enormousrisks and challenges, and to the local community caused by an extremely unstable state.
