宁波大学硕士学位论文 作者: 李灼统 申请级别:硕士 题目: 股东表决权制度研究 导师: 何松明 副教授 学校:宁波大学 股东表决权制度研究  摘  要  本文主要对股东表决权制度进行系统性地研究，指出表决权制度具有独立的 制度价值。我国公司法对于该制度应进一步加以充实和完善，以利于公司法理论 和实践的发展，适应和满足社会经济发展的现实需要。 本文共分为四个部分。第一部分主要分析了股东表决权的概念、性质和价值。 文章以传统观念上的股东表决权的性质为基础，指出股东表决权同时还是一种控 制权，具有工具性质，是股东用来控制公司的一种工具，从而提升了表决权在公 司法中的核心地位。这从本质上阐明，股东表决权制度具有独立的制度价值。 第二部分讨论了股东表决权行使的制度空间，即表决机制。本文首先通过对 比分析，阐明了股东表决权行使的基本原则,即“一股一权”原则，探讨了股东 表决权的两种主要行使方法，并对我国公司法对累积投票制应当采取许可主义的 立法态度进行分析研究。 第三部分讨论的是股东表决权的行使方式，主要对表决权行使中的表决权代 理、表决权信托和表决权拘束协议等几种重要的行使方式进行了深入探讨。文章 通过剖析我国在相关制度上的设计缺陷，并借鉴国外先进的立法经验，对如何构 建和完善我国的相关制度提出了自己的建议。 第四部分是关于股东表决权的限制制度的研究，从而与本文前面三个部分共 同构成了对股东表决权制度的完整论述。文章首先对表决权限制的原因进行了理 论解释，然后对各种具体限制规则分别给予了剖析，并在此基础上对如何构建我 国的相关制度进行了详细探讨。 关键词：表决权，一股一权，表决机制，累积投票制，表决权信托 I 宁波大学硕士学位论文 A Study on Shareholder Voting Right System Abstract This thesis systematically studies on shareholder voting right system, and it is concluded that the voting right system has its own independent value. The voting right system should be strengthened and perfected further in China Company Law in order to benefit the development of the theory and practice of company law, to adapt to and satisfy the needs of the reality of society and economy. The thesis can be divided into 4 parts. In part 1, the article mainly illustrates the basic concept, the nature and the values of shareholder voting right system. On the basis of the traditional view of the nature of the voting right system, it is stressed that the voting right is also a controlling power in essence by which shareholders can control their companies. Thus the voting right is enhanced to the core place of company law, and it is explained that shareholder voting right system has its own independent value. Part 2 discusses on the exercising room of shareholder voting right system, i.e., voting mechanism.
