Counter-offers and Replies The Definition of Counter-offer A counter-offer is an offer made in response to a previous offer by the other party during communications for a final contract. *When the offeree finds part or all of the conditions are unacceptable, he may show his disagreement and raise his own terms instead for further discussion in relation to the terms of price, packing, shipment and so on. Thus the original firm offer becomes invalid and unbinding and a new offer comes into being, which is a counter-offer. *Then the original offeror now becomes the offeree and he is fully entitled to acceptance or refusal. He may make another counter-offer of his own. The Structure of a Counter-offer Acknowledge the arrival of the offer; Show your regret for not being able to accept the offer and the reason; Put forward your new terms and conditions; Give your hope for prompt reply and mention the opportunities of doing business. Sample reading Read the following samples, and then divide them into the above four typical parts of a counter-offer. Sample A: Counter-offer on Terms of Price Dear sirs, We acknowledge the receipt of your offer of January 24 and samples of Men’s Shirts. Thank you for your cooperation. While appreciating the good quality of your shirts, we find your price is on rather high side and out of line with prevailing market level. We are obtaining the same quality through other channels at a much lower price than that you quoted us. Such being the case, may we suggest that you make a reduction in your price, say 8%? That would help to push the sales of your shirts in our market. We hope you will not lose this chance from which you can benefit a lot. We shall appreciate it very much if you will make a concession and fax us your acceptance as soon as possible.
