东北财经大学本科毕业论文 现代企业价值评估若干理论问题的研究 作 者 应俊耀 院 系 会计学院 专 业 会计学 年 级 99 学 号 9956109 指导教师 姜楠教授 答辩日期 2003.6.15 成 绩 92 .内 容 摘 要 本文试图在综合现有相关文献的基础上，就企业价值评估理论中的若干问题做一下探讨和研究。 本文通过对经济学中的企业理论的回顾和评价，阐述了现代企业理论中关于企业性质的贡献，集中分析了企业价值的涵义，重点比较讨论了现有评估理论中的若干方法，就企业价值评估理论中的若干问题提出了个人的看法。 本文共包括以下四个部分： 第一部分，综述企业理论中关于企业性质的主要观点和企业价值评估中认识企业的角度。 第二部分，简述价值理论的发展过程，说明何谓企业价值以及现有评估理论中的缺陷。 第三部分，比较介绍现有企业价值评估的方法。 第四部分，总结全文观点。 传统评估理论对企业价值的理解缺少对企业社会价值的分析。但是，在实践操作中存在关于企业社会价值的确认和经济计量问题。同时，我们也很难完全排除企业的日常经营收益中包含了某些社会责任因素。现有的评估方法普遍缺少对企业潜在获利能力的考虑。因此推荐使用期权估价模型，充分考虑潜在获利能力对企业价值的影响。但期权估价模型由于主观性比较强，存在着某些参数不容易确定的情况。 关键词：价值 企业价值 资产评估 社会价值 期权 ABSTRACT It attempts to probe into and to study on the problems of business valuation theory on the basis of synthesizing the existing relevant documents. This thesis passes enterprise retrospect and appraisal of theories in economics, and introduces the contributions of modern firm theory about the nature of the firm. It concentrates on and analyses enterprise meaning of value, and discusses several existing methods to valuation theory relatively. Finally I evaluate several problems of the valuation theory and propose my personal viewpoints on business valuation. Traditional asset appraisal theory lacks to enterprise analysis of social value to enterprise understanding of value. We also very difficult to get rid of managing the income include some social value at ordinary times enterprise totally. Existing valuation methods generally lack to consideration of enterprises potential earning capacity. So I recommend using the Option Pricing Model, fully considering the impacts on business value of potential earning capacity. But Option Pricing Model has some parameter difficulties because of the strong subjectivity.
