Service Agreement This Service Agreement (hereinafter referred to as the “Agreement”) is made and entered into on the 15th day of January, 2008 (the “Effective Date”) in Beijing, by and between: Volkswagen Beijing Office (hereinafter referred to as “Party A”), a representative office of Volkswagen AG registered and existing under the laws of the People’s Republic of China (“China”) with registered address at Building 2, No.3A Sanlitun Road, Chaoyang District, Beijing 100027, China; and [legal name of the service provider in full] (hereinafter referred to as “Party B”), a limited liability company registered and existing under the laws of China with its registered address at [ address ], Shanghai[ postal code ], China. Party A and Party B are hereinafter referred to individually as “the Party” and collectively as “the Parties”. WHEREAS: a. Party B engages in business of providing catering related services and it has related professional capabilities and legal qualifications, the copy of Business License of Party A issued by Shanghai Administration of Industry and Commerce is attached to this Agreement as Appendix I; and b. Party A desires to engage Party B and Party B agrees to provide Party A with catering related services for the event to be organized by Party B in accordance with the terms and conditions of this Agreement and attached appendices; THEREFORE, after friend consultations between the Parties in accordance with the Contract Law and other applicable laws and regulations of China and the principle of equality and mutual benefit, it is hereby agreed between the Parties as follows: 1. Background and Engagement 1.1 Background Party A is to organize “Audi R8 Launch” event during the 17th day through the 22nd day of January, 2008 in Shanghai International Circuit Management and Development Co., Ltd., which is located at No. 2000 Yining Road, Jiading District, Shanghai city (hereinafter referred to as the “Event”). 1.2 Engagement
