CONFIDENTIALITY AND NONCOMPETE AGREEMENT This Agreement is made effective for all purposes and in all respects as of this ___ day of _________________, 2001, by and between ABC WRECKING, INC. (hereinafter known as Principal) and LUKE HAZARD (hereinafter known as Contractor) who shall collectively be known herein as the Parties. RECITALS: WHEREAS, Principal is engaged in the business of towing and wrecker service for automotive vehicles and crunching the junk too beat up to be fixed; WHEREAS, Principal wishes to engage Contractor in the capacity of an independent contractor and Contractor wishes to accept such position upon the terms and under the conditions recited below; WHEREAS, acceptance of the terms of this agreement by Contractor is a precondition imposed by Principal to entering into (or continuance of) an independent contractor agreement. The premises having been considered and with acknowledgment of the mutual promises and of other good and valuable consideration herein contained, the Parties, intending to be legally bound, hereby agree as follows: A. Capacity of Engagement. The duties to be performed by Contractor for Principal are generally described as follows: drive the wrecker, pickup up wrecked stuff, and dont hit stuff unless you meant to hit it. 1. Contractor shall have the following title: Head driver of wrecker fleet. 2. Principal shall engage Contractor, for a period and an amount of compensation to be separately agreed to by the parties, in the capacity set forth above commencing by or on 5/25/01 (or such other date as the Parties may agree to). B. Required Confidentiality. For so long as Contractor shall remain engaged by Princip
