国家股流通思考摘 要2013年华润集团内部人控制导致的高溢价收购案例再度引发关于关于国有企业深化改革建立现代企业制度的政策反思。党的十八届三中全会通过的《中共中央关于全面深化改革若干重大问题的决定》提出，国有资本、集体资本、非公有资本等交叉持股、相互融合的混合所有制经济，是基本经济制度的重要实现形式，要积极发展混合所有制经济。本文从现代企业理论与公司治理入手，选取173家国有上市公司作为样本，并分析，国家股流通是否推动了上市国有企业股权结构优化并有效解决了国有企业治理效率。以此来反思我国国有企业改革的历史根源和政策思路，并提出相关政策建议。关键词：国家股流通；股权集中度；国有企业治理效率；实证分析ABSTRACT In 2013 insider control of China Resources Group led to a high premiumacquisition,the case triggers policy reflection on deepening the reform of state-owned enterprises to establish modern enterprise system. The Decision of the CPC Central Committee on Several Important Issues of Comprehensively Deepening Reform ,adopted bythe Third Plenum of 18th CPC Central Committee ,proposed that, state-owned capital, collective capital, non-public cross-shareholdings, public capital and fusion of the ownership, areimportant realization forms of basic economy system, and we need to actively develop the mixed ownership economy.In terms of modern business theory and corporate governance, this paper chooses 173 state-owned listing corporations as a sample, and analyzed that whether the circulation of state owned shares pushes the listed state-owned enterprises to optimize ownership structure and promotes the efficiency of state-owned corporate governance.
