摘 要 制度创新是指新制度(或新制度结构)产生，否定、扬弃或改变旧制度(或旧制度结构)的动态过程。具体地说，民营中小企业制度创新是 ”以企业为主体，为更好地实现企业制度的功能，在收益与成本评价的基础上，在制度供给的范围内设计新的企业制度的过程” 。制度创新主要涵盖企业财产关系、治理结构、分配融资、运行机制、管理模式等方面的创新范畴，它与技术等其他创新既有共性又有个性和显著特征。首先，民营中小企业的制度创新是其产品创新、技术创新、市场创新等一系列创新活动的前提，是产生主动创新和持续创新的重要制度保证；其次，企业制度要随着生产力和市场经济发展而不断完善，就必须适应经济全球化的需要，不断创新；另外，制度创新涉及企业内部不同层面的机制变革，同时还涉及企业外部的金融体制改革、社会保障制度改革、政府机构改革等外部制度变革，我们必须从系统的观点出发，注重企业外 部制度创新与内部制度创新的协调运行，促使其互动共进。 System innovation refers to new system (structure) or new system produce, self-negation, or change the old system (or old) system structure of dynamic process.
