第六届财务案例分析大赛 上市公司私有化始末 ——土豆网私有化退市案例分析团队名称： Robust团队成员： 赵荟滢 顾佳 石汀竹指导老师： 李颖琦 二〇一二年四月“运筹杯”第六届财务案例分析大赛 上市公司私有化始末——土豆网私有化退市案例分析 Robust 摘 要 土豆股份有限公司（以下简称土豆网）采取与优酷股份有限公司（以下简称优酷网）100换股并购的方式私有化退市的形式在中国首次出现。中国企业在继海外上市浪潮过后又掀起了私有化退市的浪潮。土豆网的私有化在动因上具有典型性，在形式上具有特殊性，同时，对于土豆网和优酷网这两个行业巨头以及今后网络视频行业的发展具有深远的意义。本次案例分析主要就土豆网私有化退市的原因、方式进行研究。 本文首先通过国际国内以及网络视频行业的背景，结合了近年来赴美上市公司私有化的现状，以及西方上市公司私有化的动因理论分析了土豆网私有化的主要动因。并且分析了土豆网选择 100换股合并的方式私有化的原因。由于优酷网与土豆网的合并将在今年第三季度正式完成，所以结合财务报表等财务数据对土豆网私有化的经济后果进行了预测。相关财务数据的研究表明，土豆网私有化退市对于土豆网今后的长远发展是非常有利的，并且能够促进网络视频行业结构的调整，带动行业良性发展。 最后，从本次案例中得出了结论。土豆网选择合并退市除了出自无奈之外更是对自身效益最大化的选择。上市公司在上市及退市时应该根据自身特点，行业现状以及经济形势进行选择，切勿盲目跟从， 要站在长远利益的角度进行战略选择。关键词：上市公司；私有化；换股并购“运筹杯”第六届财务案例分析大赛 上市公司私有化始末——土豆网私有化退市案例分析 Robust Abstract The pattern of privatization by 100 stock swap that TUDOU Co. Ltd. hereinafter referred to as TUDOU and YOUKU Co. Ltd. hereinafterreferred to as YOUKU chose is the first case in China. ChineseEnterprises will raise the wave of privatization after the wave of IPO.The TUDOU’s delisting has its typicality in the causes and has itsparticularity in the form. Also it means a lot to the two tycoons of theNetwork Video Industry YOUKU and YUDOU and the future development ofNetwork Video Industry. The case is discussed based on the causes and thepattern of TUDOU’s privatization. The article first analyzes the main causes of TUDOU’s privatizationcombines with the current situation of the companies which went publicin America in the recent years and the causes of privatization theoriesof listed companies. And also analyzes the reasons that TUDOU choseprivatization by 100 stock swap. Due to the merge of TUDOU and YOUKU willbe finish in the third season so it predicates the economic consequencesof TUDOU’s privatization combines with the financial statement and anyother financial data.
